Settlement agreement UK: the six conditions that make it binding

A settlement agreement in the UK is not a contract like any other: it is a document Parliament gave conditions to, and one that misses any of them does not do the job it was drafted for. This page sets out those conditions from the Act itself rather than offering a precedent, which is deliberate: the requirements are public and short, and the drafting is work for a solicitor who will be named in the document.

Settlement agreement employment law: the six conditions in section 203(3)

The Employment Rights Act 1996 lists them: the agreement must be in writing; it must relate to the particular proceedings; the employee or worker must have received advice from a relevant independent adviser as to the terms and effect of the proposed agreement and in particular its effect on their ability to pursue their rights before an employment tribunal; there must be in force, when the adviser gives the advice, a contract of insurance or an indemnity covering the risk of a claim against the adviser; the agreement must identify the adviser; and it must state that the conditions regulating settlement agreements under the Act are satisfied.

Why generic wording defeats the document

The second condition does real work. Acas gives the example directly: an agreement would not be valid if it stated that it is in full and final settlement of all claims. The agreement has to identify the specific complaints or claims it covers, which is why a real one lists them by name and by statute rather than sweeping them up in a sentence. A template that opens with a global waiver is the single commonest way these documents fail, and it fails in the employer's favour nowhere: it is the waiver that becomes ineffective.

Employee settlement agreement or employer settlement agreement: the same document

An employee settlement agreement, an employer settlement agreement and a work settlement agreement are the same instrument seen from different sides of the table, and the statutory conditions do not change with the label. Acas records that the agreement is voluntary, in writing, legally binding and reached through discussion, and that either side can suggest one. It also notes that these were called compromise agreements before, which is why older templates and older advice still use that name.

Settlement agreement redundancy cases: what the document usually contains

Where the agreement documents a redundancy, it normally separates the statutory redundancy payment computed under section 162 from the notice element and from the ex gratia compensation, because the three are taxed differently. It commonly also covers an agreed reference, a confidentiality clause, and the employer's contribution to the adviser's fee. Acas notes the agreement can include a financial payment, an employment reference, an agreement not to make a tribunal claim and a confidentiality clause.

Questions people ask about settlement agreement UK

Can I use a precedent I found online?

As a checklist of what to expect, yes. As the document itself, it fails at the point where section 203(3)(e) requires the agreement to identify the independent adviser who advised on it: there is no version of this document that works without a named, insured adviser.

Is a work settlement agreement legally binding?

It is binding when the section 203(3) conditions are met. Where they are not, the provisions purporting to stop you bringing a claim under the Act are void under section 203(1), even though the money may still have been paid.

What was a compromise agreement?

The same instrument under its old name. Acas records the change of terminology, and the statutory conditions in section 203 still carry the older wording in places, which is why both names appear in the legislation and in older precedents.
